Terms of Service

Last updated: September 28, 2026

These Terms of Service govern your use of tcipher.com and the technology services provided by Tcipher.

01

Using Our Website

You may use the website only for lawful purposes. You must not attempt to disrupt the website, gain unauthorised access, introduce malicious code, misuse our systems or use the website in a way that violates applicable law.

02

Our Services

Tcipher provides custom software development, AI automation, web and mobile application development, UI/UX design and related technology services. The scope, deliverables, timeline, fees and responsibilities for a client project are set out in the applicable proposal, statement of work, order form or other written agreement. If a signed client agreement conflicts with these Terms, the signed client agreement will apply to that project.

03

Project Scope and Changes

Project requirements should be agreed in writing before development begins. Changes to functionality, integrations, platforms or technical requirements may affect the timeline and fees. Material changes will be confirmed before additional work is carried out.

04

Fees and Payment

Project fees, payment schedules, taxes and other commercial terms are set out in the applicable proposal, statement of work or invoice. Clients are responsible for making payments according to the agreed payment terms.

05

Intellectual Property

Ownership of project code, documentation, designs and other deliverables is governed by the applicable client agreement. Where the agreement provides for transfer of ownership, the agreed project intellectual property is transferred to the client according to those terms. Pre-existing Tcipher materials, reusable components, third-party software and open-source software remain subject to their applicable ownership or licence terms unless the client agreement states otherwise.

06

Client Materials

You are responsible for ensuring that the content, data, credentials and other materials you provide to Tcipher may lawfully be used for the project. You retain ownership of your materials unless the applicable agreement states otherwise.

07

Third-Party Services and Integrations

A project may depend on third-party platforms, APIs, hosting providers, app stores, payment providers or other services. These services are controlled by their respective providers and are subject to their own terms and availability. Tcipher is not responsible for third-party changes, outages or restrictions except where expressly agreed in writing.

08

AI and Automated Systems

AI systems may produce outputs that are incomplete or inaccurate. AI outputs should be reviewed by an appropriate person before they are used for important business, financial, legal, medical, safety or other high-impact decisions. For AI projects, data access, security, retention and other project-specific requirements are governed by the applicable project agreement.

09

Confidentiality

Both parties should protect confidential, non-public information shared during a project and use it only for the agreed purpose. Information may be disclosed when required by law or when reasonably necessary to provide the agreed services.

10

Warranties and Disclaimers

We work to provide reliable services, but the website and general information on it are provided without a guarantee that they will always be uninterrupted, error-free or suitable for every particular purpose. Project-specific warranties, acceptance criteria, support commitments and service levels are governed by the applicable client agreement.

11

Limitation of Liability

To the maximum extent permitted by applicable law, Tcipher will not be responsible for indirect, incidental, special or consequential losses arising from the use of the website or services. Tcipher's liability for a client project will be governed by the applicable client agreement.

12

Client Responsibility

You are responsible for using the software and services in compliance with applicable laws and for providing accurate information and necessary access needed to deliver the agreed project.

13

Termination and Suspension

Project termination rights are governed by the applicable client agreement. Tcipher may suspend or restrict access to the website where reasonably necessary to address misuse, security risks or legal requirements.

14

Governing Law and Disputes

These Terms are governed by applicable law. Any dispute relating to the website or services will be handled by the courts or other appropriate forum with jurisdiction over Tcipher, unless a signed client agreement provides otherwise.

15

Changes to These Terms

We may update these Terms from time to time. The latest version will be posted on this page with the updated date.
